Terms and Conditions

These Terms and Conditions govern your access to and use of the SimpliHi website, applications, dashboards, APIs, and services that provide business messaging, CRM automation, analytics, and integrations with the WhatsApp Business Platform and related communication channels (the “Services”). By accessing or using SimpliHi, you agree to these Terms. If you do not agree, do not use the Services. In these Terms, SimpliHi, we, us, or our refers to SimpliHi Technologies Private Limited or its affiliates. You or Customer refers to the business entity using the Services. Authorized Users are individuals permitted to access your account. End Users are individuals you message using the Services.

1. Services

SimpliHi provides cloud based tools that allow Customers to send messages, manage contacts, automate workflows, analyze conversations, and integrate with WhatsApp. SimpliHi does not initiate communications on your behalf and does not control message content.

2. Accounts and Eligibility

You must provide accurate registration information, safeguard login credentials, and ensure all Authorized Users comply with these Terms. You are responsible for all activity under your account.

3. WhatsApp Compliance and Lawful Use

You agree to:

  • obtain valid opt in from End Users
  • follow WhatsApp Business policies
  • use approved templates
  • honor opt out requests
  • comply with data protection and telecom laws

SimpliHi may suspend or restrict Services for violations.

4. Customer Responsibilities

You are responsible for:

  • message content
  • contact lists
  • privacy notices
  • regulatory compliance
  • obtaining consent
  • data accuracy

SimpliHi acts only as a service provider processing data under your instructions.

5. Fees and Payments

Pricing and billing terms appear in your order form or subscription plan.

Late payments may lead to suspension.

Taxes are your responsibility unless stated otherwise.

6. Acceptable Use

You must not:

  • send spam or unlawful messages
  • circumvent platform restrictions
  • introduce malware
  • reverse engineer the Services
  • resell without permission
  • disrupt operations

7. Intellectual Property

SimpliHi owns its platform and software.

You retain ownership of your data and content.

You grant SimpliHi a limited license to process data only to provide the Services.

8. Data Protection

Personal data is governed by our Privacy Policy and any Data Processing Addendum.

Security incidents will be handled in line with applicable law.

9. Availability and Support

Services are provided on an as available basis.

Uptime is not guaranteed.

Support levels depend on your plan.

10. Suspension and Termination

We may suspend or terminate access for:

  • breach of these Terms
  • non payment
  • legal requirements
  • WhatsApp enforcement
  • security risks

On termination, access ends and data is handled per retention rules.

11. Third Party Services

SimpliHi integrates with third party platforms including Meta WhatsApp.

We are not responsible for outages caused by third parties.

12. Disclaimers and Liability

Services are provided as is.

To the fullest extent allowed by law, SimpliHi is not liable for indirect or consequential damages.

Our total liability in any twelve month period will not exceed fees paid by you to SimpliHi in that period.

13. Indemnity

You agree to indemnify SimpliHi against claims arising from your use of the Services, content, or legal violations.

14. Governing Law

These Terms are governed by Indian law.

Courts in Bengaluru, Karnataka have jurisdiction.

15. Changes and Contact

We may update these Terms from time to time.
